THE Securities Classification and Securities Legal Construction Issues

In the article questions of ordering of specific variety of the securities provided both real Russian civil legislation, and bills are investigated. Allocation of three main signs-characteristics of the securities simultaneously forming a basis of the main classification of securities for the legislative, research and practical purposes is proved. It is offered to fix steady designations of such characteristics as a class, type and the form. Tendencies and prospects of development of a securities legal construction in the civil legislation with use of the offered characteristics are analyzed, the conclusion about them norm-creative meaning becomes. Such definitions as a documentary and non-documentary security are entered and offered for legal fixing. Use prospects in legislative process of such characteristics as a class and type of securities reveal. In its turn, conclusions about prospects of refusal of order papers type, and also from division of securities into emission and non-emission classes become. The hypothesis of the basic way of securities legal designs development – by a legislative regulation of their kind as main backbone element in which various signs-characteristics can be inherent is put forward. The leading role of a sign of security form in the updated civil legislation is proved. Two basic ways of securities legislation development – branch and functional ways are formulated, the estimation of their modern parity is given. For the aim of the set of securities logic description it is offered to use mathematical methods, including the matrix-symbolical, formalized polynom. The universal formulas of a security with scientific, norm-creative, legal-practical and informative value are offered. The meaning of securities constructive characteristics with various degree of importance in the conditions of modern legislation development are predicted.
