QUALIFICATION of Invalid Deals Incurred during Order Placement for Goods, Works and Services for the State and Municipal Needs

Issue of qualification of invalid transactions, made during procurement of goods, works and services for state and municipal needs is of practical importance as it will allow to define term, in which claim about the recognition of such transaction as invalid can be prosecuted, and the quarter who has rights to make it.

As features of null and void transactions, including transactions made by procurement of goods, works and services for state and municipal needs, it is possible to define: possibility of challenge by any person, impossibility of convalidation, possibility of its challenge within three years, from the moment of the beginning of this transaction's execution. For a voidable transactions such features are: possibility of its challenge only by persons, specified in the Civil Code of the Russian Federation, possibility of convalidation, possibility of its challenge within a year, from the termination date of the violence or threat under the influence of which the transaction was made, or from the date, when the claimant discovered or should discover other circumstances being the basis for the recognition of the transaction as invalid.

Not rather accurate statement, fixed in para. 5, Art. 10 of the Law № 94-FZ, causes in practice disputes concerning qualification of invalid transactions, made during procurement of goods, works and services for state and municipal needs.

In terms of uniformity of the rules of law application, it's represented incorrect to refer some transactions made during procurement of goods, works and services for state and municipal needs with violation of requirements of the Russian Federation legislation to null and void, and others to voidable. Other interpretation of norms of the Civil Code of the Russian Federation and the Law on procurement in practice can also cause disputes concerning qualification of these or those specified transactions.
