It should be confirmed that the protection of intellectual property is extremely important. The copyright is very important element in the system of intellectual property protection. The system of intellectual property protection requires constant improvement due to the rapid development of society.

The importance of this research is related to the rapid development of contractual relations in copyright law of Ukraine and in copyright system of The Russian Federation.

The article scrutinizes the legal-comparative description of license contract in Ukraine and in The Russian Federation. The problem of license contract in copyright system of Ukraine and The Russian Federation is very important and actual. License contract in copyright system of Ukraine and The Russian Federation is often applied in practice.

The legal nature of license contract in Ukraine and in The Russian Federation is analyzed in the article. The legislation about license contract in copyright of Ukraine and The Russian Federation is also analyzed. The problem of correlation between copyright law and patent law in regulation of license contracts is studied.

The problem of determination and attributes of copyright agreements in Ukraine and The Russian Federation is analyzed. This article also scrutinizes the problem of essential conditions of license contracts in Ukrainian copyright law and in copyright system of The Russian Federation.

The license contract in copyright can be signed on the transfer of rights about: book, poem, music, photography, dance movement, films, audiovisual works or computer software etc. Ideas, concepts, facts, processes and methods are not protected by copyright law. The functions and processes, inventions are protected by patents and therefore not protected by copyright system. The functions and processes, inventions are objects of license contracts in patent law.

In the article identical rules about license contract in Ukrainian Civil code and in the Civil code of Russian Federation are studied. Also differences in legislation about license contract in Ukraine and The Russian Federation are studied.
